1. Background
These Program Terms and Conditions (the “Agreement”) form a legally binding contract between you (the “Participant”, “you”) and Sarah Swaroop Coaching Ltd (trading as OffScript) (“OffScript”, “we”, “us”, “our”) and apply to your purchase and participation in any OffScript programs, packages, courses, memberships, or coaching services (collectively, the “Programs”).
By paying for or joining a Program, you are deemed to have accepted these Terms.
If you do not agree, please do not purchase or participate in any OffScript Program.

2. Programs
OffScript offers a range of Programs that may include one-to-one coaching, group coaching, live or recorded workshops, digital courses, memberships, and other services (collectively, the “Programs”). These may change over time.
Current core offers include (but are not limited to):
• The Rewrite – a one-off clarity and positioning session (with optional add-ons)
• The Shift – a 3-month 1:1 coaching package for women in transition
Future offers may include group programmes, circles, digital courses, and memberships. The specifics (duration, format, inclusions, price) will be set out on the relevant sales page or proposal at the time of purchase. Those details form part of this Agreement.
3. Program Inclusions
The exact inclusions for your chosen Program will be described on:
• The relevant sales page, checkout page, or
• A written proposal/email agreed between you and OffScript
Typical inclusions may include:
• Coaching sessions via Zoom or similar
• Access to digital resources, tools, or workbooks
• Limited between-session support (e.g. email or messaging)
• Access to a community space or group calls (if applicable)
All Program inclusions are available only for the duration of the Program you have purchased. Access does not continue indefinitely unless clearly stated in writing.
We reserve the right to update or improve content, resources, or delivery methods at any time, provided the overall value of the Program is not reduced.
4. Term & Commitment
This Agreement begins when you complete payment (or the first instalment of a payment plan) for your selected Program.
It remains in force for:
• The full duration of the Program, and
• Any period needed to complete outstanding payments under a payment plan, even if the live delivery has ended.
By joining a Programme, you are committing to:
• Engaging with the work to the best of your ability
• Attending scheduled sessions where possible
• Communicating honestly if issues arise
• Respecting boundaries, community guidelines, and other participants (if in a group setting)
5. Fees & Payment
Programme fees are as advertised on the Website or agreed in writing (for bespoke packages).
• Fees may change over time, but changes will not affect Programmes you have already purchased.
• Payment must be made via the methods offered (e.g. Stripe, PayPal, bank transfer, or via our checkout platform such as ThriveCart).
• If a payment plan is offered and chosen by you, you agree to complete all instalments in full and on time.
Any applicable taxes will be clearly shown at checkout where required.
6. Late Payments & Failed Payments
If a payment instalment fails or is late:
• We may attempt to reprocess the payment automatically.
• If payment is not received within a reasonable period (typically 5–7 days), we reserve the right to:
• Suspend your access to the Program (sessions, community, resources), and/or
• Terminate your participation in the Program while still pursuing the outstanding amount.
You remain responsible for the full balance of your agreed payment plan, regardless of whether you complete the Program, unless we have explicitly agreed otherwise in writing in line with your statutory rights.
7. Refund Policy
We want you to have a clear understanding of your commitment.
Unless otherwise stated on the specific Program sales page or required under UK consumer law:
• There are no refunds for change of mind once you purchase a Program.
• For payment plans, you remain liable for all agreed instalments.
• Non-attendance at live sessions does not entitle you to a refund or partial refund.
We will, of course, honour your statutory rights under the Consumer Rights Act 2015 and other applicable UK legislation.
If we choose to offer a discretionary refund or credit in exceptional circumstances, this does not create an obligation to do so again in future.
8. Access to Content & Resources
Program content may be delivered via:
• Online portals
• Downloadable files
• Live or recorded calls
• Email
• Community platforms (e.g. Circle, Facebook, Slack, or others as specified)
You are responsible for:
• Registering with accurate and up-to-date details
• Ensuring you can access the chosen platform(s)
• Keeping your login details secure
We will give reasonable notice if we move content to a different platform.
9. Passwords & Security
Any usernames, passwords, or access links provided are for your personal use only.
You agree that you will not:
• Share your login details with others
• Allow others to access the Program using your account
If you suspect your account has been compromised, you must notify us as soon as possible.
You are responsible for all activity under your account until we are notified and can take action.
10. Communication & Support
Unless otherwise stated, support is provided:
• Via email for admin, logistics, or private matters
• In coaching sessions for personal development, strategy, and reflection
• In any designated group/community spaces for group programmes (if applicable)
We will outline expected response times when you join (for example: within 2–3 business days, Monday–Friday, UK time). We do not guarantee instant replies outside these parameters.
11. Community Spaces (If Applicable)
If your Programme includes access to a community space (e.g. Facebook group, Circle, Slack):
You agree to:
• Respect the confidentiality of others
• Keep discussions kind, inclusive, and non-harmful
• Not promote or pitch your own services without explicit permission
• Refrain from sharing screenshots or personal stories outside the group
We reserve the right to remove any Participant from a community space for behaviour that is abusive, harmful, discriminatory, or disruptive-without refund.
12. Confidentiality
We take confidentiality seriously.
• Information shared by you in 1:1 coaching is treated as confidential, except where we are legally required to disclose (e.g. risk of harm to yourself or others, legal obligation).
• In group settings, we will encourage a culture of confidentiality but cannot guarantee the actions of other participants.
You agree not to share other participants’ personal stories or details outside the Programme without their explicit consent.
13. Intellectual Property & Copyright
All Program materials are the intellectual property of Sarah Swaroop Coaching Ltd and/or its licensors, including (without limitation):
• Workbooks, exercises, and frameworks
• Videos, audio recordings, and slides
• Templates, tools, checklists, and PDFs
• Call recordings and training sessions
• Branding, logos, and visual identity
You receive a personal, non-exclusive, non-transferable licence to use these materials for your own personal and professional development.
You may not:
• Share, sell, or redistribute materials
• Repurpose frameworks or content as your own programme or product
• Record sessions without permission
• Post Program materials publicly
If you wish to use or adapt any material beyond personal use, you must request written permission first.
14. Disclaimer
You understand and agree:
• OffScript provides coaching, reflection, and strategy support – not therapy, medical advice, legal advice, or financial advice.
• We do not make promises or guarantees about specific outcomes (career changes, promotions, income levels, life changes, etc.).
• Your results depend on many factors, including your circumstances, actions, decisions, mindset, resources, and support network.
All content, tools, and sessions are for information and personal development purposes only.
You are responsible for your own decisions and actions.
15. Medical & Mental Health Disclaimer
OffScript coaching is not a substitute for:
• Therapy
• Counselling
• Psychiatric or medical treatment
We are not qualified medical or mental health professionals.
If you are experiencing mental health difficulties, illness, or crisis, you should seek support from an appropriate healthcare or mental health professional. You are encouraged to consult your GP or specialist before making significant health-related decisions or changes.
If we believe you may benefit from additional support beyond coaching, we may suggest you seek professional help and/or pause coaching where appropriate.
16. Earnings & Career Disclaimer
While we may support you in exploring career options, leadership, or business decisions, you acknowledge that:
• We do not guarantee any income, promotion, job offer, or business result.
• All examples of past client experiences or “wins” are illustrative only and not a promise of what you will achieve.
You accept full responsibility for your own financial, career, and business decisions.
17. Limitation of Liability
Nothing in this Agreement seeks to exclude or limit any liability which cannot be excluded or limited under UK law, including your statutory rights as a consumer.
To the fullest extent permitted by law:
• We are not liable for any indirect, incidental, consequential, or special loss or damage (including loss of income, opportunities, or data) arising from your use of the Programs.
• Our total liability for any claim arising out of or in connection with a Program is limited to the amount you paid for that specific Program.
You agree not to bring any claim personally against any individual associated with OffScript (e.g. Sarah Swaroop in her personal capacity) in respect of any losses.
18. Technology & Access Issues
We will take reasonable steps to keep the Website and Program platforms functional and available.
We are not responsible for:
• Issues caused by your internet connection, device, or software
• Platform outages or issues outside our control
Where possible, we will provide access to replays or alternative arrangements if a live session is disrupted.
19. Termination
We may terminate your access to a Program if:
• You seriously breach this Agreement (e.g. abuse, harassment, non-payment, IP infringement), or
• We reasonably believe your continued participation is not appropriate or safe.
In such cases, we may choose (at our discretion) whether any partial refund or alternative arrangement is offered, in line with your statutory rights.
If we terminate a Program for reasons entirely on our side (and not due to your conduct), we will refund any fees paid for services not yet delivered.
20. Dispute Resolution
If you have a concern or dispute, you agree to:
1. Contact us in writing at support@offscriptcareers.com, setting out:
• The nature of the issue
• The outcome you are seeking
• Any relevant details or evidence
2. Engage in good faith discussions and/or a meeting (online) to try to resolve the matter informally.
If we cannot resolve the dispute informally, either party may seek resolution through mediation or the courts of England and Wales.
Both parties agree to keep all discussions and disputes confidential and not to make defamatory public comments (including on social media).
21. Governing Law
This Agreement is governed by and construed in accordance with the laws of England and Wales.
You and OffScript submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or in connection with this Agreement.
By proceeding with your payment, you confirm that you have read, understood, and agree to these Program Terms & Conditions.
